MYCOWORLD – MANUFACTURER AGREEMENT

This Manufacturer Agreement (“Agreement”) is made and entered into on the Effective Date above by and between:

MycoWorld, a brand operating via www.mycoworld.co.uk (“MycoWorld”, “we”, “us”, “our”)

(Hereinafter referred to as the “Manufacturer”, “you”, “your”)

1. Nature of Relationship

1.1 MycoWorld is a brand that distributes microscopy products.

1.2 The Manufacturer:

Operates independently from their own premises (including home-based environments)
Is not an employee, partner, or representative of MycoWorld
Is engaged solely as an independent contractor

2. Scope of Work

2.1 The Manufacturer agrees to:

Produce spore syringes only
Follow all instructions, specifications, and quality standards provided by MycoWorld
Maintain a clean, hygienic, and controlled production environment

2.2 The Manufacturer must not:

Produce any products not explicitly approved by MycoWorld
Deviate from approved production methods

3. Strict Product Limitation

3.1 All products must be spore syringes intended strictly for microscopy use only.

3.2 The Manufacturer agrees:

Not to produce, market, or imply any use related to cultivation
Not to provide instructions or guidance related to illegal use

3.3 The Manufacturer must not:

Sell or distribute any other substances or products
Engage in any activity that suggests alternative use

4. Legal Compliance

4.1 The Manufacturer is solely responsible for ensuring:

Full compliance with all applicable laws and regulations
All products are legal within their jurisdiction

4.2 The Manufacturer must not:

Produce illegal substances
Engage in any activity considered unlawful or within a legal grey area

5. Exclusivity

5.1 The Manufacturer agrees:

Not to independently sell or distribute spore syringes
Not to operate as a competing vendor
Not to supply similar products to third parties

5.2 All production carried out under this Agreement is exclusively for MycoWorld.

6. Order Handling & Distribution

6.1 The Manufacturer is responsible for production only unless otherwise agreed in writing.

6.2 If involved in dispatch, the Manufacturer must:

Follow all packaging and labeling requirements
Not include unauthorized materials, branding, or messaging

7. No Liability

7.1 To the fullest extent permitted by law, MycoWorld shall not be liable for:

Any products manufactured by the Manufacturer
Any misuse, misrepresentation, or unlawful distribution
Any actions taken outside of MycoWorld’s instructions

7.2 The Manufacturer assumes full responsibility for:

All items produced
Compliance with all laws
Any legal or financial consequences arising from their activities

8. Indemnification

The Manufacturer agrees to indemnify, defend, and hold harmless MycoWorld from any claims, damages, liabilities, losses, or legal actions arising from:

Products manufactured
Breach of this Agreement
Violation of any laws or regulations

9. Quality & Compliance Monitoring

MycoWorld reserves the right to:

Request evidence of production standards
Require corrective actions
Suspend or terminate this Agreement for non-compliance

10. Termination

10.1 MycoWorld may terminate this Agreement immediately if:

Any term is breached
Illegal or non-compliant activity is suspected
Unauthorized products are produced

10.2 Upon termination:

All production must cease immediately
Any remaining stock must be handled as directed by MycoWorld

11. Intellectual Property

11.1 All branding, trademarks, and materials remain the property of MycoWorld.

11.2 The Manufacturer agrees:

Not to use MycoWorld branding without permission
Not to present themselves as MycoWorld

12. Confidentiality

12.1 The Manufacturer agrees not to disclose:

Production processes
Supplier information
Business operations

12.2 This obligation survives termination of this Agreement.

13. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of England and Wales.

All disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Amendments

MycoWorld reserves the right to update this Agreement at any time.

Continued engagement constitutes acceptance of any revised terms.

15. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings.

16. Acceptance

By signing below, the Manufacturer confirms that they:

Will only produce legal spore syringes
Will strictly adhere to the microscopy-use-only requirement
Will not produce or distribute unauthorized or illegal products
Accept full legal responsibility for all manufacturing activities
